1. Agreement to Terms

By accessing or using Qunex services, including our website (qunex.co), mobile applications, APIs, and satellite-based communication infrastructure (collectively, the "Services"), you agree to be bound by these Terms and Conditions.

If you do not agree to these terms, you must not access or use our Services. These terms constitute a legally binding agreement between you and Qunex.

2. Description of Services

Qunex provides satellite-based communication and data infrastructure services, including but not limited to:

• QSAT: Space-based data center services with low latency connectivity
• QFone: Satellite phone connectivity services
• QSuite: Satellite-based telecom platform
• QBlocks: Blockchain infrastructure services
• API Services: Access to our communication infrastructure

3. Account Registration

To access certain features of our Services, you may be required to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Engage in fraudulent activities
• Use the Services for any military or weapons-related purposes without authorization

We reserve the right to terminate or suspend your access for violation of these terms.

5. Service Level Agreement

Qunex commits to maintaining 99.9% uptime for our core satellite communication services. In the event of service disruption:

• Scheduled maintenance will be announced 48 hours in advance
• Emergency maintenance may occur without prior notice
• Service credits may be issued for extended outages as per your service agreement

6. Payment Terms

For paid Services:

• Fees are due in advance unless otherwise specified
• All fees are non-refundable unless required by law
• We may change our fees with 30 days' notice
• You are responsible for all applicable taxes
• Late payments may result in service suspension

7. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and the underlying technology, are owned by Qunex and are protected by international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our content without prior written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUNEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from or relating to these terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

10. Indemnification

You agree to indemnify, defend, and hold harmless Qunex, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of our Services, violation of these terms, or infringement of any third-party rights.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the federal or state courts located in Delaware.

12. Export Compliance

Our Services may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export control laws, including the U.S. Export Administration Regulations, and you will not export or re-export our Services to any prohibited country, entity, or person.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes your acceptance of the new terms.
